Chatwo End User License Agreement (EULA)

1. Agreement to Terms
This End User License Agreement ("EULA") constitutes a legally binding agreement between you ("User") and Dragonhorse Interactive Inc. ("Company") governing your use of the Chatwo application (the "App"). By accessing, downloading, or using the App, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions outlined in this EULA. If you do not agree to these terms, you must cease using the App immediately.

2. Grant of License
Subject to your compliance with this EULA, the Company hereby grants you a limited, non-exclusive, non-transferable, revocable license to access and use the App for your personal, non-commercial purposes. This license does not constitute a sale of the App or any intellectual property therein, and all rights not expressly granted are reserved by the Company.

3. User-Generated Content (UGC)
3.1 Prohibited Content
Users are strictly prohibited from creating, uploading, sharing, or transmitting any content that:

Promotes or incites hate speech, racism, sexism, discrimination, or violence.

Contains sexually explicit, obscene, pornographic, or otherwise unlawful material.

Violates any applicable local, national, or international laws or regulations.

Harasses, bullies, defames, or abuses other users or third parties.

Includes misleading, false, or deceptive information, spam, or malicious software.
3.2 Moderation of Content
The Company reserves the right, at its sole discretion, to monitor, review, and remove any user-generated content that violates this EULA or is otherwise deemed inappropriate. Users who violate these provisions may have their accounts suspended or terminated without prior notice.
3.3 Flagging and Reporting Mechanism
Users are encouraged to report objectionable or abusive content through the in-app reporting feature. The Company will endeavor to review all flagged content and take appropriate action, including removal of such content, within 24 hours of the report.

4. Code of Conduct
By using the App, you agree to adhere to the following behavioral guidelines:

Respect the rights, dignity, and privacy of other users.

Refrain from engaging in any abusive, threatening, or harmful behavior.

Use the App solely for lawful purposes and in compliance with this EULA. The Company reserves the right to suspend or permanently terminate your access to the App for any breach of this code of conduct.
5. Privacy Policy
Your use of the App is subject to the Company’s Privacy Policy, which outlines the methods of data collection, use, and storage. By using the App, you consent to the practices described in the Privacy Policy, which can be accessed at https://www.chatwosocial.com/privacy-policy.

6. Intellectual Property Rights
All intellectual property rights in and to the App, including but not limited to its content, trademarks, logos, software, designs, artwork, code, original characters, and audio assets (collectively, "Intellectual Property"), are owned exclusively by the Company. Users are prohibited from copying, modifying, distributing, or creating derivative works based on any Intellectual Property without the Company's prior written consent.

7. Limitation of Liability
To the maximum extent permitted by applicable law, the Company and its affiliates shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or related to your use or inability to use the App, including but not limited to damages resulting from user-generated content, unauthorized access to your data, or service interruptions. The Company is also not responsible for any damage to your device or loss of data resulting from the use of the App. Users acknowledge that the use of the App is at their own risk.

8. Third-Party Services and Compliance
The App may include third-party services, libraries, or other software components that are subject to separate license agreements. By using the App, you agree to comply with the terms and conditions of any such third-party services, which are incorporated herein by reference. The Company is not responsible for any third-party services or components and does not provide any warranties related to their functionality.​

9. Governing Law and Dispute Resolution
This EULA shall be governed by and construed in accordance with the laws of the United States, Delaware. Any disputes arising out of or in connection with this EULA shall be subject to the exclusive jurisdiction of the courts located in Delaware-related jurisdiction.

10. Amendments to the EULA
The Company reserves the right to amend or modify this EULA at any time. Any such amendments will be effective upon posting the updated EULA within the App. Continued use of the App after such modifications constitutes your acceptance of the revised terms.

11. Termination
The Company reserves the right to terminate this EULA and your access to the App at its sole discretion and without prior notice for any reason, including but not limited to violations of this EULA. Upon termination, you must cease all use of the App and delete all copies from your devices.

12. Severability
If any provision of this EULA is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the intent of the original.
